Terms of Sale

These terms apply to orders placed with Velaturo by trade customers. They do not replace a signed supply agreement where one exists.

Quotations

Quotations are valid for 15 days from issue and are based on the specification stated on the quotation: subject, finished size, texture level, delivery format, quantity and destination. A change to any of those is a change to the price.

Prices are quoted in USD unless stated otherwise. Unless the quotation says otherwise, prices are EXW Xiamen and exclude freight, insurance, import duty, customs clearance and destination charges.

Orders and proofs

An order is accepted when we confirm it in writing and, where applicable, receive the agreed deposit.

For commissioned work we issue a digital proof before painting begins. Painting starts when you approve the proof. If you change the brief after approval we will requote the change rather than absorb it.

Images and rights

You confirm that you own, or have permission to use, every image you send us for reproduction, and that painting it will not infringe any third party's rights.

We screen incoming images and will decline work we believe infringes a living artist's copyright. We will tell you why. You indemnify us against claims arising from images you supply.

Lead times

Painting takes 7 to 14 days after proof approval, depending on size and detail. Larger or more heavily textured work takes longer, and the specific date is on your order confirmation. Your order confirmation carries the specific date.

Lead times are estimates made in good faith. Where a delay is caused by us we will tell you as soon as we know rather than on the day. We are not liable for delays caused by events outside our control, including carrier delays, customs holds and force majeure.

Payment

First orders are prepaid in full, or 50% deposit with the balance before dispatch. Established accounts are on terms agreed in writing.

Title passes on receipt of full payment. Risk passes according to the agreed Incoterm. Bank charges are for the sender's account, and the remitting name must match the invoice.

Colour and variation

Each piece is painted by hand. Pieces made to the same specification will be consistent — same composition, palette and treatment, matched against the same reference — but they will not be identical. Identical is what printing produces.

Colour on a screen, colour in print and colour in pigment are three different things and cannot be made to match exactly. Where colour is critical we recommend approving a physical sample before the main order. If you proceed without one, colour variation within normal hand-painted tolerance is not grounds for rejection.

Inspection and acceptance

We photograph each finished piece and send it for your approval before dispatch. Raising a change at that point costs you nothing. Please inspect goods on arrival and notify us of any issue within 14 days of delivery.

Exclusivity and confidentiality

Where we develop an original series for you, that series is not offered or sold to any other buyer, and the working material is archived rather than circulated.

We do not name customers or publish images of customer-commissioned work without written permission.

Liability

Our liability for any order is limited to the invoice value of that order. We are not liable for indirect or consequential loss, including loss of profit, loss of sale or third-party claims. Nothing in these terms limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of the People's Republic of China. The parties will attempt to resolve any dispute in good faith before taking other steps.
